    Dr. Florian Späth joined S&C’s General Practice group in 2015. He advises buyers/bidders, sellers and target companies on a wide range of corporate transactions, with a focus on financial sponsor-related M&A matters and public takeover offers. Advice on shareholder activism, general corporate and securities laws, including on shareholder meetings and transformational transactions, complements his practice.

    In 2021 and 2022, Dr. Späth joined Deutsche Boerse Group, a leading European provider of financial markets infrastructure, where he headed the Group‘s legal M&A and Venture Capital activities. In this capacity, he coordinated and provided counsel on Deutsche Boerse‘s M&A and VC projects, strategic partnerships and innovation initiatives.

    Key M&A and Corporate Transactions

    Since 2015 and at S&C, Dr. Späth has advised on numerous high-profile M&A and corporate transactions, including:

    • Recent transactions involving private equity investors, such as (i) Flix, the global travel company backed by multiple financial sponsors, in connection with EQT Future’s and Kühne Holding’s acquisition of a 35% stake; (ii) OHB’s intended public-to-private transaction with KKR for an enterprise value in excess of EUR 1 billion (pending); (iii) Deutsche Boerse’s strategic partnership with General Atlantic in the multi-billion EUR combination of Qontigo and ISS; and (iv) Pelion’s combination of its controlling stake in Tion in a joint venture company controlled by EQT Active Core Infrastructure
    • Alibaba Group Holding Limited (China) in its $1 billion acquisition of a controlling stake in Lazada Group S.A. (Singapore) and Alibaba’s subsequent acquisition, through a put/call mechanism, of most of the remaining interests in Lazada

    • Bayer on Elanco Animal Health’s $7.6 billion acquisition of Bayer’s Animal Health business
    • Cevian in connection with the €17.2 billion sale of ThyssenKrupp’s elevator business
    • Delivery Hero on the €930 million sale of its German food delivery businesses to Takeaway.com
    • Deutsche Boerse on the announced all-cash takeover offer for SimCorp A/S for app. €3.9 billion and the creation of a new investment management solutions segment
    • Drillisch (now: 1&1 AG) on its €8 billion business combination with United Internet
    • Incyte’s acquisition of MorphoSys’ tafasitamab, a humanized Fc-modified CD19-targeting immunotherapy marketed in the U.S. as Monjuvi® and outside of the U.S. as Minjuvi®, in connection with Novartis’s USD 2.9 bn takeover offer for MorphoSys
    • K+S on the (subsequently withdrawn) unsolicited proposed $8.8 billion takeover by Potash 
    • Rocket Internet on its public self-tender delisting offer for all of its outstanding shares, valuing the company at some €2.5 billion 
    • TLG IMMOBILIEN on its €1.5 billion acquisition of a 15.0% stake in Aroundtown and the subsequent business combination affecting €25 billion in assets
    • Uniper in connection with Fortum’s €8 billion tender offer for all of its shares
