Eight Sullivan & Cromwell partners have been named Law360 MVPs for “securing hard-earned successes in high-stakes litigation, complex global matters and record-breaking deals.” The Sullivan & Cromwell lawyers were selected from more than 900 submissions.
Mitch Eitel in Banking
The Managing Partner of S&C’s Financial Services Group, Mitch plays a key role in efforts to strengthen minority-owned financial institutions, including advising the U.S. Treasury on its $9 billion Emergency Capital Investment Program and Wells Fargo on 12 investments in minority depository institutions. Mitch is also leading the biggest bank deal announced last year, BNP Paribas’ $16.3 billion pending sale of its Bank of the West business, as well as the biggest bank deal announced this year, First Horizon’s pending $13.4 billion acquisition by Toronto Dominion Bank. S&C advised on bank M&A deals totaling more than $52 billion in 2021, representing two-thirds of the $77 billion of bank M&A deals announced last year. This is Mitch’s fourth MVP award.

Matt Friestedt in Benefits
Matt leads S&C’s Executive Compensation M&A practice and has worked on more than $2 trillion of M&A transactions. He is experienced in handling all matters involving the compensation of senior executives, including employment, change in control, equity compensation and severance arrangements. Matt has served as the lead adviser on executive compensation and benefits matters for some of the Firm’s most significant recent transactions, including AT&T’s spin-off of WarnerMedia and merger into Discovery, Biohaven’s acquisition by Pfizer and PRA Health Sciences’ $12 billion sale to ICON. Matt also has written extensively on executive compensation practices and the Section 280G “golden parachute” tax rules.

Andrew Gerlach in Mergers and Acquisitions
Andrew co-led the S&C team that helped Canadian Pacific overcome a higher bid and ultimately acquire Kansas City Southern. Andrew is a partner in the Firm’s Financial Services and Mergers & Acquisitions Groups as well as co-head of the North America insurance practice. Over the past year he also served as lead counsel to Goldman Sachs in its $2.24 billion acquisition of GreenSky and Chubb Limited in its $5.75 billion acquisition of Cigna insurance businesses in seven Asia-Pacific markets. Andrew advised Goldman Sachs on its acquisition of NN Investment Partners, which has been successful in incorporating Environmental, Social and Governance (ESG) factors across its product range and advances Goldman’s commitment sustainability in its investment platform. This is Andrew’s second MVP award.

Robert Giuffra in Securities
Bob is Co-Chair of S&C and a partner in the Firm’s Litigation Group. This marks his tenth Law360 MVP—in a range of practice areas—the most of any lawyer. Bob handles some of the biggest, most closely watched securities matters in the legal industry, including representing Allianz Global Investors U.S. in its resolution of investigations by the SEC and DOJ of Structured Alpha hedge funds managed by Allianz and its settlement of related investor litigation. He represented Tenaris in resolving investigations by the SEC and DOJ, with the DOJ closing its investigation without taking any action and the SEC resolving the matter without the company admitting or denying wrongdoing. Bob also won an important Ninth Circuit victory for Volkswagen that sharply limits when plaintiffs can use the Supreme Court’s Affiliated Ute presumption of reliance in “mixed” securities-fraud cases involving misrepresentations and omissions. In addition to securities litigation, Bob’s practice spans white collar, trials, class actions, products liability, banking, employment and insurance.

Suhana Han in Transportation
Suhana is a partner in the Firm’s Litigation Group and represents automakers in litigation involving securities, antitrust and product liability claims, at both the appellate and district court level. Her practice covers a broad range of commercial litigation as well as regulatory investigations. Suhana helped Volkswagen obtain the dismissal with prejudice, affirmed on appeal by the Second Circuit, of securities litigation arising out of a European Commission investigation into potential anticompetitive conduct in the German auto industry. Suhana also served as co-lead counsel for Volkswagen as it obtained summary judgment in litigation over certified pre-owned vehicles and prevailed in two antitrust disputes with the Prevent Group. This is her second MVP award.

Kay Ian Ng in Capital Markets
Kay Ian is the managing partner of the Firm’s Hong Kong office and a leading Hong Kong corporate lawyer with 30 years of experience. He advised China Mobile on its $8.2 billion initial public offering on the Main Board of the Shanghai Stock Exchange, making it the first Hong Kong-incorporated, Hong Kong-listed company to have its shares listed on a stock exchange in mainland China. This is the largest IPO in the telecommunications industry globally in the past 20 years, the largest main board IPO in mainland China in the past 10 years and the fifth-largest main board IPO in mainland China ever. Over the past year he also served as lead counsel to XPeng Inc. in its $2 billion dual-primary listing in Hong Kong, which is the first ever dual-primary listing of a company with a weighted voting rights structure on the Hong Kong Stock Exchange. Kay Ian has advised on some of the landmark transactions in recent years in the Greater China market, with experience in working on more than 100 completed Hong Kong IPOs and securities offerings, raising more than $100 billion in aggregate. This is Kay Ian’s second MVP award.

Camille Orme in Compliance
As co-head of S&C’s Bank Regulatory practice and a partner in the Firm’s Financial Services Group, Camille advises U.S. and non-U.S. financial institutions on a wide range of U.S. banking laws and regulations. Camille manages S&C’s relationship with the Bank Policy Institute and counsels on critical regulatory, policy and compliance matters facing the industry. She also represented CIT Group on regulatory matters in connection with its merger with First Citizens BancShares, which established First Citizens as the largest family-controlled bank in the nation. Camille’s practice also includes restructuring global businesses in light of shifting regulatory requirements and standards and bank corporate governance matters.

Isaac Wheeler in Tax
Isaac is the co-head of the Firm's Tax Group. He represents a wide range of clients, including financial institutions and other multinational corporations, asset managers, real estate developers and private individuals. Isaac led the S&C tax team that guided AT&T to its $106.5 billion spin-off/merger of WarnerMedia and Discovery, which required negotiating the largest-ever Reverse Morris Trust. Isaac served as lead tax adviser on some of the Firm’s most significant recent transactions, including Standard Industries’ $7 billion acquisition of W.R. Grace and Goldman Sachs’ $2.24 billion acquisition of GreenSky.
