S&C received two “Highly Commended” designations at the Financial Times Innovative Lawyers Europe report. The Firm was recognized in the Dealmaking category for advising Bosch in its $8 billion acquisition of the residential and light commercial HVAC business from Johnson Controls and Hitachi and in the Restructuring category for advising Ambatovy Minerals Société Anonyme and Dynatec Madagascar Société Anonyme in their restructuring plan for $2.3 billion of debt.
The Bosch deal is the largest and most complex transaction in the company’s 140-year history and required challenging multiparty negotiations on M&A, carve-out and IP issues, designing and negotiating tailor-made parameters that allowed three leading international strategic companies to agree on a joint transaction. The global team advising Bosch on all Corporate, Tax, Intellectual Property, Executive Compensation, Environmental and Antitrust aspects of this landmark transaction was led by Carsten Berrar, Scott Crofton, Frank Aquila, Stephan Rauch and Konstantin Technau.
Ambatovy’s restructuring, completed as a Part 26A restructuring plan under UK law, was the first restructuring plan involving a borrower under a limited recourse project financing. It supports the continuing operations of the mining project, which represents approximately 25 percent of Madagascar’s total exports and is critical to Madagascar’s national prosperity. The project is the largest-ever foreign investment in the country and the largest limited recourse project financing in the African mining sector.
