Sullivan & Cromwell advised on matters that earned two top honors at the 2024 Latin Lawyer “Deals of the Year” Awards.
“Project Finance: Energy and Natural Resources”: As part of one of the largest multisource financings in Latin America in recent years, S&C advised Minera Centinela on the $600 million transfer of its water infrastructure assets comprising an existing pipeline and treatment facilities. The deal, which helps Minera Centinela optimize risk mitigation in its $4.5 billion copper mine expansion in Chile’s Antofagasta region, required innovative structuring to ensure that Centinela’s complex existing operations could continue and were assured access to water following the spin-off. The team was led by Sergio Galvis and Benjamin Kent.
“M&A: Public Companies”: S&C represented Grupo Sura in resolving a takeover effort that was the largest and most complex hostile takeover battle in Colombian history. Grupo SURA, Grupo Nutresa, IHC Capital Holding, Grupo Argos, JGDB Holding and Nugil entered into a series of transactions that resulted in Grupo Argos and Grupo Sura ceasing to be shareholders of Grupo Nutresa, and Grupo Nutresa, JGDB Holding, Nugil and IHC ceasing to be shareholders of Grupo SURA and Grupo Argos. The team was led by Sergio Galvis and Werner Ahlers.
