S&C’s M&A Financial Advisory Practice led all law firms in global financial advisory M&A transactions in 2024, advising on nearly $221 billion of announced deals, according to Bloomberg. From 2015 to 2024, S&C has counseled financial advisers on more than 500 M&A transactions totaling more than $2.1 trillion in deal value. The Firm advised Barclays, BofA Securities, Centerview Partners, Citigroup, Evercore, Goldman Sachs, Houlihan Lokey, J.P. Morgan, Jefferies, Lazard, Macquarie Capital, Morgan Stanley, PJT Partners, Scotia Capital and UBS in their capacity as financial advisers in announced M&A matters during 2024. These matters include advising:
- The Board of Directors of Kellanova in its $35.9 billion pending acquisition by Mars;
- Nordisk in its $11 billion pending acquisition of three fill-finish sites from Novo Holdings, in connection with Novo Holding's $16.5 billion acquisition of Catalent;
- Hewlett Packard Enterprise in its approximately $14 billion pending acquisition of Juniper Networks;
- ADNOC Group, through ADNOC International Germany Holding, in their €12.9 billion public takeover offer for Covestro;
- The Interpublic Group of Companies in its $13.25 billion pending acquisition by Omnicom;
- Resolution Life in Nippon Life Insurance Company’s $10.6 billion pending acquisition of Resolution Life;
- Siemens in its $10 billion pending acquisition of Altair Engineering, including in the rendering of a fairness opinion to the Management Board of Siemens;
- The Special Committee of the Board of Directors of R1 RCM in its $8.9 billion acquisition by investment funds affiliated with TowerBrook Capital Partners and Clayton, Dubilier & Rice;
- NuStar Energy in its $7.3 billion acquisition by Sunoco; and
- MEGA BidCo, a consortium comprising, among others, Warburg Pincus, Starwood Capital Group, Sixth Street, SSW and Qatar Holding, in its $7.1 billion pending privatization of ESR Group by way of a scheme of arrangement.
