A Co-Head of the Firm’s Intellectual Property and Technology Group and the Firm’s Artificial Intelligence Practice, Mehdi advises clients on a wide range of transactions involving intellectual property and technology. Mehdi is leading the S&C team advising FTX in connection with complex technology and IP considerations associated with its bankruptcy and related transactions. He also led the complex IP advice on behalf of several large banks to create and invest in Fenics Markets Xchange (FMX) in a market-altering deal to create a new financial exchange market. Mehdi also advised a publicly traded SPAC on its business combination agreement with Barça Media, FC Barcelona's digital content creation platform, which valued the combined company at approximately $1 billion.
Cathy is Co-Head of the Firm’s Capital Markets Group. She has advised clients on many high-profile public and private offerings of equity and debt securities across a range of industries, including recently advising Enbridge in equity and notes offerings used to finance the company’s $14 billion acquisition of three utility providers from Dominion Energy, which created North America’s largest natural gas utility platform by volume.
Co-Head of S&C’s Global Finance & Restructuring Group, Andy led the S&C efforts that culminated with the historic confirmation of a consensual plan of reorganization for FTX, less than two years after its precipitous bankruptcy filing. Andy regularly advises clients on landmark bankruptcies, and is also currently advising Kidde-Fenwal in the first-ever Chapter 11 case attempting to resolve national mass tort liability related to per-and polyfluoroalkyl substances (PFAS). This is the fifth time Andy has been a Law360 MVP.
As Managing Partner of S&C’s Financial Services Group, Mitch has worked on many of the largest, most complex transactions in the financial services industry. He recently advised Credit Suisse on its $3.2 billion merger with UBS—the first combination of two globally systemic important financial institutions and one of the most critical bank M&A deals since the 2008 global financial crisis—and UBS on the integration post-merger. He also leads the S&C team advising Discover in its pending merger with Capital One in a $35.3 billion all-stock transaction, the second-largest announced merger of the year to date and the largest U.S. bank M&A deal since 2008.
This is the eleventh time that Bob, S&C’s Co-Chair, has been selected as a Law360 MVP, the most for any lawyer since Law360 started naming MVPs. Over the past year, in one of the biggest securities cases in recent years, Bob helped persuade the Second Circuit to reverse the certification of a class of Goldman shareholders claiming $13 billion in losses—culminating 13 years of litigation and leading to the dismissal of the case. Bob also obtained a rare appellate discretionary review of class certification for FirstEnergy, helped Volkswagen and UBS achieve a favorable settlement of SEC and DOJ lawsuit, respectively, and obtained the dismissal of securities cases against Allianz AG and Ericsson.
Under Melissa’s leadership as S&C’s Global Head of M&A, S&C has maintained its position as a top law firm adviser for global M&A deals, with Melissa heading teams for some of the most significant deals in the market. Melissa recently advised Seagen on its $43 billion acquisition by Pfizer—the largest-ever all-cash acquisition in the biopharmaceutical industry—for which The American Lawyer recognized her as a “Dealmaker of the Year.” Adding to her resume of landmark luxury retail deals, she is also advising Neiman Marcus Group on its pending acquisition by HBC, the parent company of Saks Fifth Avenue.
A member of S&C’s Tax Group, Eric concentrates on U.S. tax matters and advises on a broad range of planning and transactional matters for both U.S. and non-U.S. clients. Eric is advising on Discover’s agreement to merge with Capital One in a $35 billion all-stock transaction and advised on Enbridge’s $14 billion acquisition of three utilities providers. As S&C is a perennial leader in M&A deals, Eric plays a crucial role leading the tax planning for many of the Firm’s most high-profile and complex deals.
