S&C has had strong ties to Australia and New Zealand for more than 50 years. The Firm’s pre-eminent U.S. legal practice in Australia and New Zealand includes debt and equity capital markets work, corporate transactions, project financings, credit and leveraged finance, restructuring and liability management and special situations and mergers and acquisitions.
S&C’s recent achievements in Australasia include:
- Advising the initial purchasers on the debut offering by Karoon Energy of US$350 million of senior secured guaranteed notes due 2029. This was the largest high-yield bond completed in 2024 to date by an Australia or New Zealand issuer and one of only six high-yield bonds completed in the region during this time, per LSEG;
- Advising Woodside Energy Group in its debut SEC-registered debt offering in 2024 of US$2 billion of senior guaranteed notes;
- Advising an ad hoc committee of bondholders of No Va Land Investment Group Corporation in the restructuring of No Va Land’s US$300 million Convertible Bonds via a pre-packaged scheme of arrangement in Singapore. This is the first-ever cross-border pre-pack scheme approved by the Singapore International Commercial Court; and
- Advising Alumina Limited on its sale to Alcoa Corporation for approximately US$2.8 billion, the largest completed M&A transaction in Australia and New Zealand to date in 2024.
