Kamil Shields for Litigation: White-Collar Crime & Government Investigations
A partner in S&C’s Litigation Group and a member of the Firm’s Criminal Defense & Investigations Group, Kamil represents clients in high-profile investigations and regulatory enforcement proceedings involving public corruption and bank and wire fraud. She is currently representing one of the nation’s largest electricity distributors in investigations and enforcement matters related to the passage of an energy bill in a state legislature.
Samantha is a partner in S&C’s Litigation Group and a member of the Firm’s Antitrust Group. Her practice focuses on antitrust matters, including civil litigation and merger reviews at the U.S. Department of Justice and the Federal Trade Commission, and includes commercial litigation matters. She has played a key role in obtaining antitrust clearance on some of the biggest M&A deals of recent years, including Seagen’s $43 billion acquisition by Pfizer, the largest-ever all-cash acquisition in the biopharmaceutical industry, and Amgen in its $27.8 billion acquisition of Horizon Therapeutics plc, the largest announced healthcare deal of 2022.
An associate in S&C’s Tax Group, Eli was named an “Associate to Watch” by Chambers USA. He has advised on matters including J.P. Morgan in its acquisition of Aumni, a provider of investment analytics software to the venture capital industry, and Great-West Lifeco’s $1.8 billion sale of Putnam Investments to Franklin Templeton. He has also advised on Credit Suisse and UBS matters, including the sale of a significant portion of its Securitized Products Group and other related financing businesses to an affiliate of Apollo Global Management. Eli has also recently published an article regarding the tax consequences of certain failed bank purchases and another article regarding the tax treatment of certain novel debt instruments.
Marion Leydier for Insurance: Transactional & Regulatory
Marion is a partner in S&C’s Insurance Group and Co-Head of the Firm’s Insurance Practice. As a leading practitioner in the insurance transactional sector, Marion has represented companies on both transactional and regulatory aspects of insurance M&A matters, including American Equity’s $4.3 billion acquisition by Brookfield Reinsurance and Great-West Lifeco’s $1.8 billion sale of Putnam Investments to Franklin Templeton.
Julia Malkina for Litigation: Securities
Co-Head of S&C’s Securities Litigation Practice, Julia represented Goldman Sachs in obtaining a major victory from the U.S. Court of Appeals for the Second Circuit in a $13 billion securities case, with the court reversing class certification after 13 years of litigation and establishing important guardrails to the “inflation-maintenance” theory of securities fraud. Her current representations include Barclays in securities litigation related to internal controls and Rock Holdings, the controlling shareholder of the largest U.S. mortgage lender, in securities and derivative litigation.
Yevgeniy Markov for Insurance: Transactional & Regulatory
Special Counsel in S&C’s Insurance Group, Yev advises clients on a variety of insurance regulatory, compliance and corporate matters. Recently, he has advised American Equity in its $4.3 billion acquisition by Brookfield Reinsurance, and the underwriters in Progressive’s SEC-registered offering of $500 million aggregate principal amount of its 4.95% Senior Notes due 2033.
Andrew Finn for International Arbitration
As Head of S&C’s International Arbitration and Global Dispute Resolution Practice, Andrew has extensive experience in international arbitrations, including actions before most of the major arbitral institutions globally. Andrew successfully represented a Sempra Energy affiliate as co-lead counsel in a billion-dollar ICC arbitration, and Centerra Gold in an UNCITRAL arbitration against the Kyrgyz Republic and its national mining company involving the seizure of a gold mine. He currently represents several mining companies in disputes with Latin American states and state-owned companies in both ICSID and ICC arbitrations.
Elected partner in 2023 and member of the Firm’s Mining & Metals Group, Ben is a trusted advisor to some of the most influential global mining, natural resources and infrastructure companies. Ben has advised clients on some of the largest and most complex mining projects including the recent $2.5 billion project financing for Minera Centinela’s $4.5 billion copper mine expansion in the Antofagasta region of Chile, and the sale by Sumitomo Metal Mining Co. and Sumitomo Corporation of their interests in the Sierra Gorda copper mine in Chile.
Bill Monahan for Product Liability & Mass Torts
As Head of Sullivan & Cromwell’s Products Liability & Mass Torts Group, Bill has played a crucial role in the Firm’s products liability matters since 2015. Bill handles “bet-the-company” litigation as well as related governmental and internal investigations. He recently guided Koninklijke Philips and its affiliates to a series of resolutions regarding the company’s 2021 recall of more than 15 million CPAP machines and other mechanical ventilators—the largest medical device recall in more than a decade. Bill is also leading the S&C team representing AT&T Inc. in shareholder litigation related to alleged environmental and public health risks posed by its network of lead-sheathed telecommunications cables around the country.
