In a deal that has transformed the global auto industry, Vice Chair Scott Miller led an S&C team advising Fiat Chrysler Automobiles (FCA) in its $60 billion merger with Peugeot S.A. The transaction—which created Stellantis, the fourth-largest automaker in the world—has earned Scott his second recognition in The American Lawyer’s annual Dealmaker of the Year feature.
Scott worked closely with long-time client FCA to craft a merger-of-equals that withstood the difficulties created by the COVID-19 pandemic and the ensuing market fluctuations. This “measured approach” helped FCA weather these unprecedented events and close the deal ahead of schedule in January 2021.
