“We have been very strategic about building a practice where we can consistently add value in a targeted way where the stakes are high,” she said. “Deals are at risk of getting blocked for a variety of reasons: regulatory concerns, interlopers, shareholder opposition, activism ‘bumpitrage’ and adverse events, to name a few … Many of these risks are predictable and, with some advance planning, can be mitigated or the parties can agree on a reasonable risk allocation methodology in their merger agreement.”
