RWE Aktiengesellschaft announced and priced a private placement of newly issued shares and treasury shares in an accelerated bookbuilding offering with institutional investors, resulting in gross proceeds for RWE of approximately €4 billion. RWE intends to use the net proceeds to finance the increase of its existing indirect stake in Amprion GmbH, one of Germany’s four transmission system operators, to 55 percent.
Headquartered in Essen, Germany, RWE is one of the world’s leading providers of renewable energy, generating electricity from gas, hard coal, lignite and nuclear power.
S&C acted as German and U.S. counsel to J.P. Morgan SE, Deutsche Bank Aktiengesellschaft and Goldman Sachs Bank Europe SE as joint global coordinators and joint bookrunners. S&C advised the banks in RWE’s last capital increases in 2020 and 2011.
The S&C Frankfurt-based team representing the joint global coordinators included Carsten Berrar, Clemens Rechberger, Lea Detambel and Luise Blessing.
