Longstanding S&C client Zalando, a leading European online fashion and lifestyle platform, successfully completed its voluntary public takeover offer for ABOUT YOU earlier this year and is now pursuing a cash merger squeeze-out transaction in order to acquire full ownership of the Hamburg-based e-commerce group. Zalando, through a wholly owned subsidiary, currently holds more than 90% of ABOUT YOU’s share capital. On September 22, 2025, ABOUT YOU’s extraordinary general meeting resolved on the transfer of all remaining minority shares to a Zalando subsidiary against adequate cash compensation in connection with an upstream merger of ABOUT YOU’s listed holding company (known as merger squeeze-out).
S&C advised Zalando on the public takeover and is now advising on all aspects of the merger squeeze-out as the next integration step of Zalando’s taking private acquisition and business combination with ABOUT YOU.
