Wistron Corporation, a global leading technology and AI service provider listed on the Taiwan Stock Exchange, completed its $1.2 billion zero-coupon convertible bonds (CB) offering due 2030. The CBs are listed and traded on the Singapore Stock Exchange and convertible into common shares of Wistron listed on the Taiwan Stock Exchange. This is the largest overseas offering of its kind in Taiwan.
Wistron supplies innovative information and communication technology products, services solutions and systems as original design manufacturer (ODM) to leading companies worldwide.
S&C previously advised the initial purchasers of Wistron’s June global depository shares (GDS) offering. In 2024, S&C advised the initial purchaser in the concurrent GDS and CB offerings of Wiwynn Corporation, Wistron’s subsidiary.
S&C acted as U.S. counsel to Citigroup, UBS, DBS, HSBC, Mizuho and Morgan Stanley, as the initial purchasers, and ING, as the co-manager of this year’s CB offering.
