United Rentals, the largest equipment rental company in the world, agreed to acquire H&E Equipment Services for a total enterprise value of $4.8 billion, including approximately $1.4 billion of net debt.
H&E is one of the largest rental equipment companies in the nation, with a fleet comprised of aerial work platforms, earthmoving, material handling, and other general and specialty lines.
S&C previously advised United Rentals in numerous transactions, including its $1.1 billion acquisition of Yak in 2024; its $2 billion acquisition of Ahern Rentals in 2022; its $996 million acquisition of General Finance in 2021; and its $715 million acquisition of BakerCorp and $2.1 billion acquisition of BlueLine Rental, both in 2018.
