CRH plc, one of the world’s largest providers of building materials, closed two concurrent SEC-registered offerings of senior guaranteed notes. The concurrently offered series of notes consist of $750 million aggregate principal amount of 5.4% guaranteed notes due 2034, issued by CRH America Finance and $750 million aggregate principal amount of 5.2% guaranteed notes due 2029, issued by CRH SMW Finance Designated Activity Company. The offerings were CRH’s first SEC-registered debt offering since 2010 and its first USD debt offering since 2018. S&C has been advising CRH on the U.S. corporate governance and securities law implications of CRH’s transition to a U.S. primary listing.
