Juniper Networks Inc.—a multinational networking hardware corporation—announced March 4 a plan to acquire Mist Systems Inc. for $405 million.
The S&C team on the transaction includes Alison Ressler (who was recently named to The Deal’s “Women in M&A: The Powerhouse 20”), Matthew Barnett (Corporate), Matthew Friestedt (Executive Compensation), Davis Wang (Tax), Renata Hesse and Eric Queen (U.S. Antitrust), and Michael Rosenthal (Global Competition).
The acquisition will expand Juniper’s enterprise portfolio further into Wi-Fi technology and multi-cloud artificial intelligence. Under the terms of the agreement, a reverse subsidiary merger, Juniper will pay approximately $405 million in cash and assume certain equity awards, subject to customary adjustments. Juniper expects the deal to close in its fiscal second quarter.
