S&C represents GGP Inc. in its definitive agreement with Brookfield Property Partners L.P. under which Brookfield acquired all of the outstanding shares of common stock of GGP other than those shares currently held by Brookfield and its affiliates, for aggregate cash consideration of $9.25 billion plus equity consideration that would give former GGP public stockholders an approximate 26 percent beneficial ownership interest in the combined company.
The S&C team on the transaction was led by Joseph Shenker, Robert Downes and Brian Hamilton, along with Matthew Goodman. Andrew Mason and Davis Wang advised on tax matters, and Matthew Friestedt, along with Jeannette Bander, advised on executive compensation and benefits matters.
