The thresholds set forth in the HSR Act have been revised—as they are annually—based on the change in gross national product. For the first time, however, the minimum size-of-transaction has been lowered to $63.4 million from $65.2 million effective thirty days after publication of the revisions in the Federal Register, which is expected to occur shortly. As a result of the revised lower threshold, some deals that previously would have been exempt may now require filings.
