Sarah Payne has recently been elected a partner of the Firm, effective January 1, 2010. She has a broad-based corporate practice advising clients in corporate governance and regulatory compliance issues as well as on a wide range of transactions, including public and private securities offerings, acquisitions of public and private companies and takeover defense.

Recent Transactions

Recent transactions in which Ms. Payne has advised include:

• Alcan Inc. in its defense of an unsolicited offer from Alcoa Inc. and its subsequent sale to Rio Tinto plc
• The underwriters in the initial public offering and follow-on offering of Data Domain, Inc.
• NXP B.V. in its pending disposition of its television systems and set-top box business lines
• The PMI Group, Inc. in its offering of senior debt
• Thomas Weisel Partners Group, Inc. in its acquisition of Westwind Capital Corporation
• VeriFone Holdings, Inc. in securities transactions and acquisitions

She has also represented sponsors in private equity transactions and investment banks in their roles as financial advisors. Ms. Payne is also active in the Firm’s corporate governance practice and advises clients on their continuing reporting obligations, Sarbanes-Oxley processes and other general corporate matters.
