Marion Leydier recently was elected a partner of the Firm, effective January 1, 2010. She is a member of the Insurance, Financial Institutions, Corporate and Finance, and Mergers and Acquisitions subgroups of the General Practice Group.
While at Sullivan & Cromwell, she has concentrated on insurance companies and other domestic and cross-border securities, M&A, private equity and restructuring transactions involving financial institutions, including the regulatory approvals incident thereto.
Selected Transactions
Ms. Leydier has most recently acted as counsel to:
- the creditors in connection with the commutation of policies and related restructuring of CIFG Holding Ltd., a monoline financial guarantor (Restructuring Deal of the Year – IFLR Americas Awards)
- the underwriters in connection with notes offerings by Aflac and Ameriprise, and a surplus notes offering by Pacific Life
- Prudential Financial, Inc. in connection with various matters, including its recently completed equity offering and exchangeable surplus note issuance to Nippon Life
- the bank consortium and underwriters in connection with Ambac’s recapitalization
- MF Global Ltd., a broker of futures and options, in connection with its initial public offering and NYSE listing
- Rabobank, the Dutch financial services company, in connection with its acquisition of Mid-States Bancshares, a California-based community bank
- Banco Bilbao Vizcaya Argentaria, the Spanish bank, in connection with its acquisition of Texas Regional Bancshares, a Texas-based bank holding company
- BNP Paribas, the French bank, in connection with a structured financing
