Eric Krautheimer has extensive experience in M&A transactions, including cross-border transactions. He has represented AT&T Inc. (formerly SBC Communications Inc.) in numerous transactions, including its acquisition of BellSouth Corporation, its joint venture with BellSouth Corporation forming Cingular Wireless and its acquisitions of Dobson Communications and Centennial Communications, in Cingular Wireless’ acquisition of AT&T Wireless, and in SBC’s acquisitions of Cellular Communications of Puerto Rico, SNET Corporation, Ameritech Corporation and Pacific Telesis Group; Gaz Metro in its acquisition of Green Mountain Power; John Hancock Financial Services, Inc. in its merger with Manulife Financial Corporation; and Diageo plc in multiple transactions and its joint acquisition with Pernod Ricard of the spirits and wines group of The Seagram Company Ltd.; and Microsoft Corporation and Vornado Realty Trust in their unsolicited offers for Yahoo! Inc. and Equity Office Properties, respectively.

Mr. Krautheimer has been involved in additional private and private equity transactions including representing Cerberus Capital Management, L.P. in the abandoned sale of Talecris Biotherapeutics Holdings Corp. to CSL Limited; representing TXU Corp. in its acquisition by a KKR and Texas Pacific Group-led consortium; J.C. Flowers & Co. in its acquisition of Fox-Pitt Kelton; Lightyear Capital in connection with various acquisitions and dispositions; Vornado Realty Trust in connection with the acquisition by Vornado, KKR and Bain Capital of Toys “R” Us; Microsoft Corporation in several transactions; Diageo plc in its sale of Burger King Corporation to a consortium led by Texas Pacific Group; various Goldman Sachs entities in its real estate investments; Chrysalis Capital Partners and Lubert-Adler in their acquisition of Central Parking Corporation; Intelsat Ltd. in its sale to a consortium of private equity buyers; and Barclays Bank plc in its proposed (and subsequently terminated) sale of its iShares business to CVC Captial and the subsequent pending proposed sale of Barclays Global Investors to BlackRock Inc.

Mr. Krautheimer has also represented Citigroup, Deutsche Bank, Goldman Sachs, Greenhill, Lazard, Merrill Lynch and Wachovia as financial advisors in many public and private M&A transactions.
