Senior Associate, General Practice Group, New York, NY
Sullivan & Cromwell seeks senior associate in the General Practice Group, in the New York office to structure, advise, document and execute public and private offerings of securities.

Requirements: J.D. or foreign equivalent and 4 years at an international law firm, researching, analyzing, reviewing and drafting memoranda, contracts, agreements and other legal documents relating to capital markets transactions and credit and leveraged finance transactions. Experience must include structuring, documenting and executing capital markets transactions (such as underwritten offerings, private placements and exchange offers) involving securities (such as common stock, preferred stock, senior debt, subordinated debt, securities convertible or exchangeable into common stock, structured notes, mortgage bonds and high yield bonds) for financial institutions, real estate investment trusts, energy companies, foreign governments and other types of issuers, representing issuers and underwriters; structuring, documenting and executing offerings involving hybrid securities; and advising financial institutions on legal matters relating to capital markets transactions, private investments, transfer of securities acquired in private investments pursuant to Rule 144 and in registered offerings, compliance with Regulation 13D and periodic reports under Securities Exchange Act of 1934.
