Law360 Recognizes S&C’s M&A Practice as Among the Best of 2010

On January 18, Law360 named S&C’s mergers and acquisitions practice as its “Corporate Finance Group of the Year” for 2010. In the article highlighting the Firm, Law360 noted that S&C established itself as a “global leader in emerging markets; and played a key role in energy, private equity and other deals.” Mr. Frumkin pointed to S&C’s commercial approach to client work as part of the Firm’s success, saying, “when different expertise is needed, we are better than most firms at pooling our resources together for the benefit of the client, and that all adds up to client loyalty and repeat clients.”

The article underscored S&C’s role in representing Alcon’s independent committee of directors in connection with Novartis’ offer to acquire Alcon’s remaining minority shares, which Mr. Frumkin termed “the transaction that stands out above all in 2010.” Due to the legal challenges this deal presented, Mr. Pagnani noted that “innovative thinking and the reliance on our legal case helped us get to a successful result.” The article also discussed other of S&C’s high-profile transactions from 2010, including advising Lan Airlines in its combination with TAM, NBTY in its sale to The Carlyle Group and AIG in the sale of its American Life Insurance unit to MetLife. “We look at ourselves not just as lawyers, but as business advisers,” Mr. Pagnani said. “We don't simply execute deals; we partner with our clients to help them formulate their strategic thinking and objectives...and achieve superior results.”
